Current and former employees and members of the Board of Directors of Freetrailer have exercised 234,682 warrants in Freetrailer Group A/S and will receive 234,682 shares with a nominal value of DKK 176,012. This is in accordance with clauses 4(b), 4(b)(2) and 4(g) of the Company’s Articles of Association and as announced in company announcements dated 29 October 2021, 13 February 2023 and 16 January 2024.
The 234,682 exercised warrants are distributed as follows:
- Current CEO and Board of Directors: 0 warrants.
- Current senior management and other employees: 32,342 warrants.
- Former management and Board of Directors: 160,240 warrants.
- Others: 42,100 warrants.
The average subscription price for the 234,682 shares is DKK 27.94, resulting in a total purchase price of DKK 6,556,077.
An agreement has been entered into with a warrant holder regarding the deferred delivery of the remaining 24,993 shares. The shares will be delivered once sufficient treasury shares are available under the Company’s ongoing share buyback programme, which is expected to be in early October 2026.
The share capital remains unchanged, as the shares relating to the exercised warrants will be allocated from the Company’s holding of treasury shares.
The Company’s share capital therefore remains unchanged at DKK 7,258,181, comprising a total of 9,677,574 shares.
